(b) Ty Wallach, a member of the Board of Directors of Overseas Shipholding Group, Inc. (the “Company”), has resigned from the Company’s Board of Directors, effective December 10, 2020. Mr. Wallach has not advised the Company of any disagreement with the Company on any matter relating to its operations, policies, or practices.
