Item 8.01 Other Events
On December 14, 2021, NextEra Energy Capital Holdings Inc., a wholly-owned subsidiary of NextEra Energy, Inc. (NEE), sold $600 million principal amount of its Series P Junior Subordinated Debentures due March 15, 2082 (Junior Subordinated Debentures). The Junior Subordinated Debentures bear interest at a rate of 3.800% to March 15, 2027 and thereafter will bear interest at a rate equal to the Five-Year Treasury Rate plus 2.547%, reset every five years. The Junior Subordinated Debentures are guaranteed on a subordinated basis by NEE. The Junior Subordinated Debentures were registered under the Securities Act of 1933 pursuant to Registration Statement Nos. 333-254632, 333-254632-01 and 333-254632-02. This Current Report on Form 8-K is being filed to report as exhibits certain documents in connection with the sale of the Junior Subordinated Debentures.
