Item 8.01 Other Events.
On September 16, 2005, P & F Industries, Inc. (the “Company”) issued a press release (the “Press Release”) announcing, among other things, that its Board of Directors had extended the time during which the Companymay purchase shares underits share repurchase program toSeptember 30, 2006. The timing and amount of share repurchases, if any, will depend on business and market conditions, as well as legal and regulatory considerations, among other things. The Company can give no assurances as to when or whether it will repurchase any shares. The Press Release is attached hereto as Exhibit 99.
