ITEM 2.02. Results of Operations and Financial Condition
On April 28, 2005, Exar issued a press release announcing its results for the quarter and fiscal year ended March 31, 2005 and certain other information. A copy of the press release is attached hereto as Exhibit 99.1 and the information set forth therein is hereby incorporated by reference into this Item 2.02.
The information in this Form 8-K and the exhibit attached hereto shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of any general incorporation language in such filing, except as shall be expressly set forth by specific reference in such filing.
The press release contains a non-GAAP presentation of the Company’s projection of EPS (diluted) for the fiscal quarter ending June 30, 2005, which excludes any effects of amortization of intangible assets in connection with recently acquired products (which amount will be determined upon the completion of a valuation of those acquired products). Non-GAAP financial measures should not be considered as a substitute for, or superior to, measures of financial performance prepared in accordance with GAAP. Exar’s management believes that the presentation of the non-GAAP financial measure provides useful information to investors because management believes that the Company’s projection of EPS is valuable to investors and the non-GAAP measure reflects the Company’s current projection of EPS absent the valuation of the acquired products.
