Explanatory Note:

This amendment to the Current Report on Form 8-K dated April 3, 2007 (Report) is being filed to furnish a corrected version of slide 24 of the appendix to the investor presentation materials that were attached as Exhibit 99 to the Report.  Slide 24 entitled "Cash Available for Dividends/Repurchases - Reg G Reconciliation" has been corrected to change (690) and (590) appearing in the 2008 table to 690 and 590 (without parentheses).  The corrected version of slide 24 is attached to this amended Report as Exhibit 99.1.  The investor presentation materials, as corrected, are posted on the “Investors” section of PG&E Corporation’s website at www.pge-corp.com.
