MATERIAL SCIENCES CORPORATION ANNOUNCES
THE CONCLUSION OF SECURITIES AND EXCHANGE COMMISSION REVIEW
ELK GROVE VILLAGE, IL, July 6, 2006 – Material Sciences Corporation (NYSE: MSC), a leading provider of material-based solutions for acoustical and coated metal applications, announced today that the U.S. Securities and Exchange Commission has concluded its review of the Company’s material weaknesses reported for the year ended February 28, 2005.
MSC disclosed in a press release on May 15, 2006, that it had received a notice from the Securities and Exchange Commission requesting the Company voluntarily produce information regarding the material weaknesses in MSC’s internal control over financial reporting disclosed, or as described in, its annual report on Form 10-K/A for the year ended February 28, 2005. MSC cooperated fully with the Commission’s request. On June 30, 2006, the Commission notified the Company that it had concluded its review related to this matter.
