ITEM 8.01 OTHER EVENTS.
On January 19, 2006, Mercer International Inc. (the “Company”) announced by press release that it intends to adjourn the special meeting of shareholders scheduled to be held on January 20, 2006 relating to the proposed conversion of the Company to a corporate form to February 17, 2006 to permit shareholders to consider amendments to the Articles and Bylaws of Mercer International Regco Inc., a wholly owned subsidiary and successor to Mercer upon completion of the proposed conversion, which eliminate the provision for a classified board. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
