Explanation of Responses:

1. Deferral of the reporting person's compensation for service as a director pursuant to the USG Corporation Deferred Compensation Program for Non-Employee Directors (the "Program"). Each deferred stock unit represents the right to receive one share of common stock. The deferred stock units become payable in shares of common stock following termination of service as a director.

2. Mean of the high and low sales prices of a share of common stock on December 29, 2017.

3. All deferred stock units held by the reporting person under the Program become payable in shares of common stock following termination of service as a director.
