	(c) and (e) In connection with the election of James S. Metcalf as President and Chief Executive Officer of the Registrant,effective January 1, 2011, on November 12, 2010, the Registrant’s Board of Directors approved the increase of Mr. Metcalf’s annual base salary to $825,000, also effective January 1, 2011.
