Explanation of Responses:

1. Represents deferred stock units acquired under the Issuer's 2012 Stock Compensation Plan in lieu of Reporting Person's quarterly retainer for Board services. The units are settled in Common Stock of the Issuer on a one-for-one basis, in one lump sum, following the Reporting Person's termination of service as a Director of the Issuer.

2. Units do not have an expiration date.

3. Includes 43.421 units, in accordance with the Issuer's 2012 Stock Compensation Plan, as a result of cash dividends declared by the Issuer.

4. Only represents the derivative securities in this class.
