The purpose of this Amendment to the annual report of the Registrant on Form 18-K for the year ended December 31, 2015 is to file with the Securities and Exchange Commission: (i) Recent Developments in the Republic of Panama as of December 23, 2016, included as Exhibit E hereof and (ii) Amendment No. 3, dated October 26, 2016, to the Fiscal Agency Agreement, dated as of September 26, 1997, as amended by Amendment No. 1 thereto, dated September 4, 2003, and Amendment No. 2 thereto, dated February 13, 2015, between the Republic and The Bank of New York Mellon (as successor to JPMorgan Chase Bank, N.A., formerly known as Chase Manhattan Bank), as Fiscal Agent, included as Exhibit F hereof.
