Ladies and Gentlemen:
We have acted as special United States counsel for the Republic of Panama (“Panama”) in connection with (i) the reopening by Panama of U.S.$300,000,000 aggregate principal amount of its 3.160% Global Bonds due 2030 (the “2030 Bonds”) and U.S.$1,000,000,000 aggregate principal amount of its 4.30% Global Bonds due 2053 (the “2053 Bonds,” collectively, the “Global Bonds”) and (ii) the transactions contemplated by the Terms Agreement (the “Terms Agreement”) dated as of November 19, 2019, among Panama, BofA Securities, Inc., and Scotia Capital (USA) Inc. We are familiar with the form of the Fiscal Agency Agreement, as amended by Amendment No. 1 thereto, dated as of September 4, 2003, and, for purposes of the 2030 Bonds only, Amendment No. 2 thereto, dated as of February 13, 2015, and Amendment No. 3 thereto, dated as of October 26, 2016, including the forms of Security attached to such agreement (as so amended, the “Fiscal Agency Agreement”), the Underwriting Agreement that forms part of the Terms Agreement, the Terms Agreement and Panama’s Registration Statements on Schedule B filed on February 26, 2018 (Registration No. 333-223218), and on October 3, 2019 (Registration No. 333-234067) (collectively, the “Registration Statements”), including the Prospectus dated October 9, 2019, and the Prospectus Supplement dated November 19, 2019 constituting a part thereof. We have also reviewed Panama’s Annual Report on Form 18-K for the fiscal year ended December 31, 2018 (the “Annual Report”) filed with the Commission under the Securities Exchange Act of 1934, as amended. The Terms Agreement and the Fiscal Agency Agreement are collectively defined herein as the “Agreements.” Capitalized terms used herein without definition shall have the respective meanings set forth in the Terms Agreement.
In rendering the opinion expressed below, we have examined such certificates of public officials, government documents and records and other certificates and instruments furnished to us, and have made such other investigations, as we have deemed necessary in connection with the opinion set forth herein.
