Bonus Awards Under the Corporation’s Performance Bonus Plan
On September 11, 2007, the Human Resources and Compensation Committee of the Board of Directors (the “Compensation Committee”) of Parker-Hannifin Corporation (the “Corporation”) approved the following annual awards to Donald E. Washkewicz, a named executive officer, pursuant to the Corporation’s Performance Bonus Plan which is incorporated herein by reference toExhibit 10.1:
Target Bonus Award
A 2008 target bonus award, an annual cash incentive based on the Corporation’s free cash flow margin for fiscal year 2008, was awarded to Mr. Washkewicz in the amount of $600,000. The target bonus award was granted pursuant to the form of award letter attached hereto asExhibit 10.2 which is incorporated herein by reference.
Return on Net Asset (“RONA”) Bonus Award
A RONA bonus award, an annual cash incentive based on the Corporation’s fiscal year 2008 return on net assets, was granted to Mr. Washkewicz for 28 RONA shares. The RONA bonus award was granted pursuant to the form of award letter attached hereto asExhibit 10.3 which is incorporated herein by reference.
