On July 23, 2021, South State Corporation, a South Carolina corporation (“SouthState”), and Atlantic Capital Bancshares, Inc., a Georgia corporation (“Atlantic Capital”), issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of July 22, 2021 (the “Merger Agreement”), providing for the merger of SouthState and Atlantic Capital, subject to the terms and conditions set forth therein. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
In connection with the announcement of the Merger Agreement, SouthState and Atlantic Capital intend to provide supplemental information regarding the proposed transaction in presentations to analysts and investors. The slides that will be made available in connection with the presentations are attached hereto as Exhibit 99.2 and are incorporated by reference herein.
