1. The number of common shares issued pursuant to the time-vested Restricted Share Units ("RSUs") granted on 5/2/2022 as part of the annual director fees. The vesting date for the RSUs was accelerated to 5/26/22 as a result of the Company's Board Reconfiguration disclosed in the Form 8-K filed on 5/31/22.
