This combined Form 8-K is separately filed or furnished by Pinnacle West Capital Corporation and Arizona Public Service Company. Each registrant is filing or furnishing on its own behalf all of the information contained in this Form 8-K that relates to such registrant and, where required, its subsidiaries. Except as stated in the preceding sentence, neither registrant is filing or furnishing any information that does not relate to such registrant, and therefore makes no representation as to any such information.
Explanatory Note
This Current Report on Form 8-K/A (the "Amendment") amends the Current Report on Form 8-K filed on March 30, 2022 (the "Original Form 8-K") for the sole purpose of providing the date of retirement for Ms. Lacal. Other than as described in the previous sentence, this Amendment does not amend or update other disclosures in the Original Form 8-K. Accordingly, this Amendment should be read in conjunction with the Original Form 8-K.
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 23, 2022, the Board of Directors of Arizona Public Service Company (“APS”) appointed Adam Heflin as Executive Vice President and Chief Nuclear Officer, effective June 6, 2022. Mr. Heflin replaces Maria L. Lacal as Chief Nuclear Officer. Ms. Lacal will continue to serve as Executive Vice President and Advisor to the CEO. In connection with her previously announced retirement, Ms. Lacal indicated on May 23, 2022 that she is targeting an effective retirement date in August of 2022, but the exact retirement date will be determined at a later date.
