Dear Pinnacle West Capital Corporation Shareholder:
The 2008 Annual Meeting of Shareholders of Pinnacle West Capital Corporation will be held on May 21, 2008 at the Herberger Theater Center, 222 East Monroe, Phoenix, Arizona 85004 at 10:30 a.m., Mountain Standard Time.
Proposals to be considered at the Annual Meeting:

| 2. | Approval of an amendment to the Company’s Articles of Incorporation to provide for a majority shareholder vote to amend the Articles of Incorporation; and | ||
| 3. | Ratification of the appointment of the Company’s independent auditors for the fiscal year ending December 31, 2008. |
