Explanation of Responses:

1. Each phantom stock unit represents the equivalent of one share of HCP common stock and is credited to an account pursuant to HCP's Second Amended and Restated Director Deferred Compensation Plan (DCP). The transaction reflects the disposition of phantom stock units as a result of the reallocation by the reporting person of his DCP accounts. Phantom stock units are settled in cash by HCP upon distribution.

2. Includes 42,344.13 units acquired in dividend reinvestment transactions since December 4, 2013.
