On December 28, 2007, Sybase, Inc. (the “Company”) issued a press release announcing that it had received notice from Sandell Asset Management Corp. (“Sandell”) of Sandell’s intent to nominate three individuals to the Company’s board of directors at the Company’s 2008 Annual Meeting and the Company issued a statement in response to Sandell’s notice. The press release is furnished as Exhibit 99.1.
