1. Disposed of pursuant to the merger agreement between the issuer and Nordson Corporation for $54.00 per share in cash on the effective date of the merger.

2. Cancelled without consideration pursuant to the merger agreement between the issuer and Nordson Corporation on the effective date of the merger.

3. The option which was fully vested was cancelled pursuant to the merger agreement between the issuer and Nordson Corporation for a cash payment representing the difference between the exercise price of the option and the merger consideration of $54.00 per share of CyberOptics common stock.
