Item 1.01. Entry into a Material Definitive Agreement.
As previously announced, the Board of Directors (the “Board”) of Peerless Mfg. Co. (the “Company”) accepted the resignation of Sherrill Stone as President and Chief Executive Officer in connection with his retirement from the Company, effective as of June 30, 2006. Mr. Stone will continue in his position as the Company’s Chairman and member of the Board.
On June 29, 2006, the Company entered into a consulting agreement (the “Consulting Agreement”) with Mr. Stone. Pursuant to the Consulting Agreement, Mr. Stone will provide consulting services to the Company for a one-year period. Mr. Stone will receive $150,000 for his services, payable in equal installments over the term of the Consulting Agreement.
The foregoing description of the Consulting Agreement is qualified in its entirety by reference to the text of the Consulting Agreement, a copy of which is attached as Exhibit 10.1 to this report and is incorporated herein by reference.
