Explanation of Responses:

1. This statement is being filed by The Goldman Sachs Group, Inc. ("GS Group") and Goldman Sachs & Co. LLC ("Goldman Sachs" and together with GS Group, the "Reporting Persons"). Goldman Sachs is a subsidiary of GS Group. Each Reporting Person disclaims beneficial ownership of the securities reported herein except to the extent of its pecuniary interest therein.

2. The Common Units of the Issuer reported herein as indirectly purchased were beneficially owned directly by Goldman Sachs and indirectly by GS Group.

3. This submission is made to amend the Reporting Persons' submission of a Statement of Beneficial Ownership of securities filed on September 30, 2019 and October 23, 2019 (the "Original Submission"). After making the Original Submission, the Reporting Persons determined in consultation with Viveve Medical, Inc. ("Issuer") that the Reporting Persons' ownership did not at any time exceed 10% of Issuer's outstanding securities. As such, none of the transactions previously reported in the Reporting Persons' Original Submission were subject to reporting under Section 16.
