        The certification set forth below is hereby made solely for the purpose of satisfying the requirements of Section 906 of the Sarbanes-Oxley Act of 2002 and may not be relied upon or used for any other purposes.

        In connection with the Quarterly Report of Kopin Corporation (the "Company") on Form 10-Q for the period ended March 29, 2003, as filed with the Securities and Exchange Commission on the date hereof (the "Report"), I, Richard A.
