Explanation of Responses:

1. Restricted stock shall vest upon the achievement of certain milestones, based on the Company's fiscal year 2021 results and is subject to restrictions pursuant to the terms of the Issuer's 2020 Equity Incentive Plan.

2. Restricted stock vests 20% on each of the five successive December 10 dates following the date of grant (12/16/20) and is subject to restrictions pursuant to the terms of the Issuer's 2020 Equity Incentive Plan.

3. Forfeiture of shares of restricted stock granted on February 20, 2014 under the 2010 Equity Incentive Plan, for which vesting requirements were not satisfied.
