Item 1.02 Termination of a Material Definitive Agreement
As previously reported in a Form 8-K filed on October 29, 2018, Document Security Systems, Inc. (“Company”), Global eMacMall Limited (“GEMM”), and Li Kin Pong, the sole-stockholder and owner of GEMM, entered into a Sale and Purchase Agreement (the “Agreement”) pursuant to which the Company would acquire 51% of the outstanding common shares of GEMM from Li Kin Pong for an aggregate purchase price of US$4,461,000, payable in a combination of the Company’s common stock and cash or promissory notes (the “GEMM Acquisition”). Closing of the GEMM Acquisition was contingent upon the completion to the Company’s satisfaction of a due diligence review of GEMM.
On November 27, 2018, following its due diligence review, the Company elected to terminate the Agreement, and provided GEMM with notice of termination on November 29, 2018.
