Item 1.01 Entry into a Material Definitive Agreement.
On July 26, 2006, we amended the Hutchinson Technology Incorporated Directors’ Retirement Plan (the “Plan”). The text of the amendment to the Plan is set forth in Exhibit 10 to this report and is incorporated herein by reference. Also on July 26, 2006, we terminated the Plan effective as of August 1, 2006. The amendment and the termination were made with the written consent of all of our non-employee directors whose rights accrued at the time of the termination and could be adversely affected by the amendment and termination of the Plan.
The amendments to the Plan generally were made to bring it into compliance in form and operation with the proposed regulations and guidance issued under Section 409A of the Internal Revenue Code of 1986, as amended. The termination of the Plan will result in aggregate payments of approximately $437,000 to our non-employee directors who have rights that have accrued as of the termination of the Plan. The payments will be made in lump sums on August 1, 2007, or as soon as administratively practical thereafter.
