Item 8.01. Other Events.
The IndyMac Bancorp, Inc. (“IndyMac Bancorp”) Direct Stock Purchase Plan (“Plan”) allows investors to invest in IndyMac Bancorp common stock, par value $.01 per share (“Common Stock”), up to a maximum of $10,000 per month, per account, with an initial minimum investment of $250. IndyMac Bancorp may waive the maximum investment limit upon request in individual cases pursuant to the terms of the Plan, as outlined in the Plan Prospectus dated December 30, 2003. The Plan also allows for the reinvestment of dividends paid on IndyMac Bancorp Common Stock held in the Plan. An updated Appendix A, containing the various dates relative to the payment of dividends and the waiver of the maximum investment limit in 2005, is attached as Exhibit 99.1 hereto.
