The following information is being furnished pursuant to Item 5 and Item 12.
On July 23, 2004, Peoples Energy Corporation issued a press release announcing financial results for the third quarter of fiscal year 2004. The company also updated its earnings guidance for fiscal year 2004 and provided an earnings forecast for fiscal year 2005. A copy of the press release is attached to this Form 8-K as Exhibit 99.
