ITEM 5.02 | DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENT OF CERTAIN OFFICERS |
The Governance Principles of Independent Bank Corp. (the "Company") provide that Directors will be ineligible to serve on the Board once they attain the age of 72 and that Directors who reach that age during their elected term shall retire from the Board upon reaching the age of 72.
David A. Powers, who has served as a Director of Rockland Trust Company ("Rockland Trust") and Independent Bank Corp. (the "Company") since 2019, will retire from the Board of Directors, effective December 30, 2020, in accordance with the Company's Governance Principles as Mr. Powers reaches the age of 72. Mr. Powers previously served as a Director, a member of the Audit Committee and a member of the Nominating and Corporate Governance Committee of Blue Hills Bancorp, Inc. and its wholly-owned subsidiary, Blue Hills Bank until April 2019, when Blue Hills Bancorp, Inc. was merged with and into the Company.
In connection with Mr. Powers' retirement, the size of the Board of Directors of both Rockland Trust and the Company will decrease from thirteen to twelve and the number of Class III Directors on the Company's Board of Directors will decrease from four to three.
