ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
As previously announced, the Community Development Financial Institutions Fund of the United States Department of the Treasury (the “CDFI Fund”) awarded $50 million in tax credit allocation authority under the federal New Markets Tax Credit Program to Rockland Trust Community Development Corporation (the “Rockland Parent CDE”), one of Independent Bank Corp.’s wholly-owned subsidiaries. A copy of the final, executed New Market Tax Credit Program Allocation Agreement between the CDFI Fund and the Rockland Parent CDE (the “Allocation Agreement”) is attached hereto as Exhibit 99.1. The CDFI Fund returned the final, fully-executed Allocation Agreement to the Rockland Parent CDE on June 23, 2009, after having assigned a New Markets Tax Credit Allocation Effective Date of June 18, 2009 to the Allocation Agreement.
