1. Represents cancellation of the restricted stock grant originally issued on February 14, 2014. This grant was cancelled because the performance goals associated with the grant were not achieved.

2. Includes 544.253 shares acquired under the CH2M Payroll Deduction Stock Purchase Plan since the reporting person's last Section 16 filing.

3. Between March 5, 2016 and February 10, 2017, the reporting person acquired 150.668 shares of CH2M common stock under the CH2M 401(k) plan.
