Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
One July 17, 2008, the Company filed its Second Amended and Restated Articles of Incorporation (the “Amendment”) with the State of Nevada. This Amendment was described in the Company’s most recent proxy statement and was approved by its shareholders at its 2008 annual shareholder's meeting. The Amendment primarily amends the Articles to:
| 1) | increase the number of authorized shares of common stock from 50,000,000 to 100,000,000, and |
| 2) | authorize up to 50,000,000 shares of preferred stock. |
