Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

As previously announced by Associated Banc-Corp (the “Company”), James Yee has retired from his position as Executive Vice President of the Company, effective June 1, 2017.  Mr. Yee was succeeded as Chief Information and Operations Officer by James Payne in January 2017.
