Section 1 - Registrant’s Business and Operations
Item 1.01. Entry into a Material Definitive Agreement
On September 10, 2019, PECO Energy Company (PECO) issued $325 million aggregate principal amount of its First and Refunding Mortgage Bonds, 3.000% Series due September 15, 2049. See Item 2.03 below for a description of the Bonds and related agreements.
Section 2 - Financial Information
Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant
On September 10, 2019, PECO issued $325 million aggregate principal amount of its First and Refunding Mortgage Bonds, 3.000% Series due September 15, 2049. The Bonds were issued pursuant to PECO’s First and Refunding Mortgage, dated as of May 1, 1923, as amended and supplemented and as further amended and supplemented by the One Hundred and Seventeenth Supplemental Indenture, dated as of August 15, 2019 (117th Supplemental Indenture). The proceeds of the Bonds will be used by PECO to satisfy short-term borrowings and for general corporate purposes. The Bonds were registered under the Securities Act of 1933, as amended, pursuant to a shelf registration statement on Form S-3 (Registration No. 333-233543-03).
Interest on the Bonds is payable semi-annually on March 15 and September 15, commencing on March 15, 2020. The Bonds are redeemable in whole or in part at PECO’s option (i) at any time prior to March 15, 2049, at a redemption price equal to the greater of (a) 100% of the principal amount of the Bonds to be redeemed, plus accrued interest to the redemption date, or (b) as determined by the Quotation Agent, the sum of the present values of the remaining scheduled payments of principal and interest on the Bonds to be redeemed that would be due if such bonds matured on March 15, 2049, but for the redemption (not including any portion of payments of interest accrued as of the redemption date) discounted to the redemption date on a semi-annual basis at the Adjusted Treasury Rate plus 20 basis points, plus accrued and unpaid interest to the redemption date. The form of the Bonds is attached to this Current Report as Exhibit 4.1 and is incorporated herein by reference.
In connection with the issuance of the Bonds, Ballard Spahr LLP provided PECO with the legal opinions attached to this Current Report as Exhibit 5.1 and Exhibit 8.1.
A copy of the Underwriting Agreement dated September 3, 2019 among PECO, BOFA Securities, Inc., Citigroup Global Markets Inc., and Goldman Sachs & Co. LLC, as representatives of the several underwriters named therein is filed as Exhibit 1.1 to this Current Report.
