Item 1.01. Entry into a Material Definitive Agreement.
On December 10, 2004, the Board of Directors approved the Amended and Restated Supplemental Executive Benefit Plan (SEBP), effective November 1, 2004. The SEBP provides life insurance and retirement benefits for a select group of management or highly compensated employees at or above the position of Vice President. The level of insurance benefit and target retirement income benefit intended to be provided under the SEBP depend upon the position of the officer. There are no family relationships among any of our officers. A copy of the SEBP is included as Exhibit 10.1 in this Form 8-K filing.
