On December 15, 2006, the registrant issued a press release to report financial results for the fourth quarter and year ended October 31, 2006. A copy of the press release is attached as exhibit 99.1 to this Form 8-K.
Item 8.01 Other Events.
On December 15, 2006, the registrant issued a press release to report the declaration of a cash dividend on common stock of 24 cents per share payable January 12, 2007, to holders of record on December 21, 2006. A copy of the press release reporting this declaration is attached as exhibit 99.1 to this Form 8-K.
Also on December 15, 2006, the registrant’s Board of Directors set March 7, 2007, as the date of the 2007 Annual Meeting of Shareholders and set a record date of January 16, 2007, for the meeting.
