Item 8.01 Other Events.
On May 29, 2013, a subsidiary of Piedmont Natural Gas Company, Inc. (the "Company") entered into a Second Amendment to Amended and Restated Limited Liability Company Agreement of Constitution Pipeline Company, LLC, by and among Constitution Pipeline Company, LLC, Williams Partners Operating LLC, Cabot Pipeline Holdings LLC, Piedmont Constitution Pipeline Company, LLC, and Capitol Energy Ventures Corp. This amendment admitted Capitol Energy Ventures Corp. as a member of Constitution Pipeline Company, LLC. The Company's membership interest of 24% was unaffected by this amendment.
