DPL INC. SETS ANNUAL MEETING DATE, LOCATION

DAYTON, Ohio, February 8, 2006 — DPL Inc. (NYSE: DPL) announced today that it will hold its annual meeting of shareholders on April 26, 2006 at 10:00 a.m. Eastern Time.  The meeting will be in Dayton, Ohio at Sinclair Community College’s Ponitz Sinclair Center — Building 12.

Holders of common shares of record at the close of business on March 3, 2006 are entitled to notice and to vote at the annual meeting.
