Item 7.01. Regulation FD Disclosure
DPL Inc. (the "Company") held a webcast conference call on July 26, 2007 to review its earnings release for the second quarter ended June 30, 2007. The earnings release disclosed the settlement of litigation with former executives. The legal expenses associated with this litigation and settlement were not disclosed in the release or on the call, but due to the nonrecurring nature of such expenses, the Company has determined to provide that information. For the six months ended June 30, 2007 the Company incurred approximately $13 million in legal expenses related to litigation involving the former executives. The Company also estimates that it will incur approximately $5 to $7 million of routine legal expenses in 2007.
