Item 2.02 Results of Operations and Financial Condition.
On February 26, 2009, DPL Inc. (the “Company”) issued a press release announcing its earnings for fiscal year 2008, and revising its earnings guidance for 2009. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
Item 7.01 Regulation FD Disclosure.
On February 27, 2009, at 9:00 a.m. Eastern Time, the Company is scheduled to hold a webcast conference call to review its earnings press release issued on February 26, 2009. A copy of the presentation slides to be used during the webcast conference call on February 27, 2009, is furnished as Exhibit 99.2 to this Current Report on Form 8-K.
Item 8.01 Other Events.
On February 24, 2009, the Company issued a press release announcing that its principal subsidiary, The Dayton Power and Light Company (“DP&L”), has entered into a settlement agreement with the staff of the Public Utilities Commission of Ohio (“PUCO”) and various intervening parties with respect to DP&L’s electric security plan that was filed with the PUCO in October 2008 in compliance with Ohio’s new energy law. The settlement is subject to approval by the PUCO. A copy of the press release is furnished as Exhibit 99.3 to this Current Report on Form 8-K.
