Explanation of Responses:

1. Following the transaction Mr. Borg is the direct beneficial owner, for Section 16 (b) reporting purposes, of an aggregate of 716,118 shares of common stock (713,318 in his Keogh account and 2,800 in his IRA account).

2. Mr. Borg may be deemed to be the indirect beneficial owner of the 22,847 shares held by his wife, Barbara B. Borg. Mr. Borg disclaims any pecuniary interest in the shares held by his wife.
