Item 1.02 Termination of a Material Definitive Agreement
The Company announces the termination of its reported plan to acquire Grand Monarch Holdings, Inc. due to unsuccessful negotiations of final agreements and the inability to complete the transaction.

The Company announces the resignation, effective immediately, of James Leach from his position as Director of Empire Energy Corporation International. Mr. Leach resigned to focus on other interests.
