Item 1.01 | Entry into a Material Definitive Agreement. |
On September 28, 2022, Hallador Energy Company (the "Company") executed an amendment to its credit agreement with PNC, administrative agent for its lenders. The primary purpose of this amendment was to add a clause to explicitly permit Hallador Power Company, LLC, a subsidiary of the Company, to acquire Hoosier Energy's 1-Gigawatt Merom Generating Station, subject to the terms and conditions set forth in the Asset Purchase Agreement entered into on February 14, 2022, and filed herewith as an exhibit to
Form 8-K/A filed on March 11, 2022. The amendment also increased the Letters of Credit sublimit from $25 million to $30 million.
