PART III–NARRATIVE
State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
As previously announced, a special committee of the Board of Directors of Rica Foods, Inc. (the “Company”) is conducting an investigation relating to potential undisclosed transactions between the Company and the Company’s former chief executive officer and entities affiliated with him. Because the Special Committee’s investigation is ongoing, the Company has not determined whether and to what extent its previously issued financial statements, which the Company has previously announced should not be relied upon, may be affected, including the extent to which financial statements for current periods could be affected. As a result, the Company is not in a position to issue unaudited financial information for the three months ended June 30, 2006 or to file with the Securities and Exchange Commission its quarterly report on Form 10-Q for such period.
