Item 1.02 | Termination of a Material Definitive Agreement |
On December 31, 2009, Senetek Plc (the “Company”) terminated the agreement with Fairlawns Partnership (“Fairlawns”), a Tennessee general partnership, for the lease of office space in Brentwood, Tennessee. The lease was for an initial, non-cancellable, three year term from June 1, 2009 through May 31, 2012. Minimum rent due for the entire three year term was approximately $310,000.
The lease was terminated in conjunction with the decision to close the Brentwood, Tennessee Customer Care Center and to transfer the operations previously handled at this location to the Company’s Napa, California office.
Senetek Plc and Fairlawns executed a Lease Termination Agreement whereby Senetek paid $52,890 and transferred ownership of certain location related assets to Fairlawns in exchange for the immediate termination of the lease. The Lease Termination Agreement is attached as Exhibit 10.1 to this Form 8-K.
