1. On May 2, 2018, the reporting person notified the issuer of his retirement from the Board of Directors of the issuer, effective immediately, in accordance with the issuer's mandatory age 72 retirement policy set for in the issuer's Statement of Corporate Governance Guidelines and Principles.

2. Not applicable.

3. Each restricted stock unit represents a right to receive one share of the issuer's common stock.

4. The restricted stock units were fully vested on the date of grant and the vested shares will be delivered to the reporting person upon the reporting person's termination of service as a director of the issuer.
