ITEM 4.01 CHANGES IN REGISTRANT'S CERTIFYING ACCOUNTANTOn May 7, 2007, our Board of Directors appointed Michael J. Larsen, PC, Certified Public Accountant as our independent auditor. Additionally, concurrent with the decision to establish a relationship with Michael J. Larsen, PC, Certified Public Accountant, our Board of Directors approved the dismissal of PRITCHETT, SILER & HARDY, P.C. as our independent auditor.
No accountant's report issued by PRITCHETT, SILER & HARDY, P.C. on the financial statements for either of the past two (2) years contained an adverse opinion or a disclaimer of opinion or was qualified or modified as to uncertainty, audit scope or accounting principles, except for a going concern opinion expressing substantial doubt about the ability of us to continue as a going concern.
During our two fiscal years ended December 31, 2002 and 2001 there were no disagreements with PRITCHETT, SILER & HARDY, P.C. on any matter of accounting principles or practices, financial disclosure, or auditing scope or procedure. There were no reportable events, as described in Item 304(a)(1)(v) of Regulation S-K, during the two fiscal years ended December 31, 2002 and 2001.
We furnished a copy of this disclosure to PRITCHETT, SILER & HARDY, P.C. and requested PRITCHETT, SILER & HARDY, P.C. to furnish us with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the statements made by us herein in response to Item 304(a) of Regulation S-K and, if not, stating the respect in which it does not agree. A copy of the letter was filed by us as Exhibit 16.1 to this current report on Form 8-K.
