Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On May 23, 2006, Michael W. Ueltzen, a director of Navtech, Inc. (the “Company”) tendered his resignation as a director of the Company, effective June 1, 2006. Mr. Ueltzen resigned for personal reasons, and not because of any disagreement with the Company concerning its operations, policies or procedures. No appointment or election of a replacement for Mr. Ueltzen has been made.
