Item 1.01. Entry into a Material Definitive Agreement.
On December 8, 2004, the Board of Directors of Tech Data Corporation approved the Tech Data Corporation 2005 Deferred Compensation Plan in order to comply with new regulations enacted by the American Jobs Creation Act of 2004.
