Tekelec (the “Company”) is filing this Current Report on Form 8-K with the Securities and Exchange Commission (the “Commission”) for purposes of filing the Consent of Independent Registered Public Accounting Firm, dated July 12, 2006, which is included herein as Exhibit 23.1. At the time of the Company’s filing with the Commission on May 30, 2006 of its Annual Report on Form 10-K for the year ended December 31, 2005, the Company was not in a position to include such consent as an exhibit to the filing.
